This agreement is between you (the “seller”: the artist, band or creator who runs a store) and [Legal entity name] (“Merch.link”). It applies when you open a store or submit a design, together with our Terms of Service, Privacy Policy and Content & DMCA policy.
1. Eligibility and your account
You must be at least 18 and able to form a binding contract. If you open a store for a band or business, you confirm you're allowed to act for it. Keep your login details safe; you're responsible for activity on your account.
2. What Merch.link does
We host your store at your-store-name.merch.link, take payment from buyers, have each item printed by our print partner, ship it, and handle customer support, refunds and sales tax. Merch.link is the seller of record for every sale, so buyers' contracts are with us and you don't collect or remit sales tax on Merch.link sales.
3. Prices, fees and your profit
- You set the price of each item, up to $50.00. Buyers also pay shipping and any sales tax, which are not part of the price.
- For each sale, Merch.link keeps a fee of a percentage of the price. The default rate is 20%. We may set a different rate for your store, permanently or for a set period.
- Your profit per sale is the price minus our fee, the printing cost and card processing. The price selector shows an estimate before you publish; actual costs can differ slightly. If actual costs ever exceed the price, your profit for that sale is $0, never negative.
- We may grant your store a fee credit. While it lasts, it pays our fee on your sales. Credits have no cash value, can expire, and can't be transferred.
- We'll give you at least 30 days' notice by email before changing the rate that applies to your store. A rate change never alters orders already placed, and your prices stay the same unless you change them.
See Pricing & fees for a worked example.
4. Payouts
- We pay you through Stripe: connect a Stripe account to get paid. We pay monthly once your balance reaches $25.00; smaller balances roll over. Until you connect Stripe, we keep your balance and pay it in the first monthly payout after you do.
- Any fee Stripe charges for the transfer comes out of the payout.
- Stripe collects your tax information directly.
- If an order is refunded, the profit for it is reversed. If it was already paid out, we reverse that transfer from your Stripe account.
- If you haven't chosen a payout method, your balance is held until you do.
5. Designer splits
If a design is submitted by a separate designer for your store, the profit on that design is split 50/50 between the store and the designer. Fee credits only benefit the store owner.
6. Your content and the license you give us
- You keep ownership of your designs, images, names and other content.
- You give Merch.link a non-exclusive, worldwide, royalty-free license to host, display, reproduce, print and sell your content on products, and to use it to promote your store and Merch.link, for as long as it's on the site and as needed to fulfill orders already placed.
- You promise you own or have permission to use everything you upload, and that it follows our Content & DMCA policy. You're responsible for claims caused by content you upload.
7. Removing content and closing stores
We may decline, unpublish or take down designs, and suspend or close stores, that break this agreement or our content policy, or after a valid infringement notice. You can close your store at any time; we'll pay out your remaining balance once it clears refunds and the payout minimum.
8. Disclaimers and liability
To the extent the law allows, the service is provided “as is” and Merch.link isn't liable for indirect or consequential losses or lost profits. Our total liability to you is limited to the fees we earned from your store in the 12 months before the claim.
9. Governing law and changes
This agreement is governed by the laws of [Governing-law state]. We may update it and will email you about material changes; continuing to sell after a change takes effect means you accept it.
